1. Purpose of Agreement

This Master Services Agreement (“Agreement”) outlines the general terms and conditions under which Hosting Roo Pty Ltd (“Hosting Roo”, “we”, “our”) provides services to its customers (“you”, “your”). Specific services may be governed by additional terms or policies.


2. Services Covered

This Agreement applies to all services offered by Hosting Roo, including but not limited to:

  • Shared cPanel web hosting

  • Domain name registration and management (resold)

  • Microsoft Office 365 licensing and support (resold)

  • Technical support, billing services, and related account management


3. Term and Renewal

  • Services are available on monthly, annual, 2-year, or 3-year billing terms.

  • Services auto-renew by default unless cancelled before the renewal date.

  • You may cancel at any time via the client portal; refunds are only issued under our 30-Day Money-Back Guarantee.


4. Payment Terms

  • All invoices are issued in AUD and must be paid by the due date.

  • Overdue accounts are suspended first, and terminated if not resolved.

  • Pricing is subject to change with prior notice.


5. Acceptable Use

You must comply with our Acceptable Use Policy, which prohibits spam, illegal content, abusive behaviour, and misuse of services.

Violations may result in suspension or termination without refund.


6. Service Levels

We aim to maintain 99.9% uptime on hosting services. Credits are available under our Service Level Agreement if uptime falls below this level.


7. Data and Backups

  • Hosting Roo performs regular backups for internal use, but customers are fully responsible for their own data backups.

  • We strongly recommend independent offsite backups, especially for critical data.


8. Privacy

We collect, store, and manage customer information in line with our Privacy Policy. Data may be shared with third-party providers strictly for service delivery (e.g., domain registrars, Microsoft).


9. Resold Services

Some services (e.g., Office 365, domain registration) are resold from third-party providers. Their terms may also apply, and Hosting Roo is not liable for failures originating from those providers.


10. Customer Responsibilities

You agree to:

  • Maintain accurate contact and billing details.

  • Secure your login credentials.

  • Use services in a lawful and respectful manner.

  • Cooperate with support or compliance requests as needed.


11. Termination

  • Either party may terminate this agreement with written notice.

  • Hosting Roo may suspend or terminate services for violations of policy, non-payment, or abuse.

  • Terminated services are not eligible for refund, except under the 30-day guarantee.


12. Liability and Warranties

Hosting Roo provides services on an “as-is” basis. To the fullest extent permitted by law, we disclaim all warranties and are not liable for indirect, incidental, or consequential damages, including data loss.

Maximum liability is limited to the fees paid by you for the affected service in the past 3 months.


13. Changes to Agreement

Hosting Roo may amend this agreement at any time. Updates will be posted on our website and are effective upon publication. Continued use of services constitutes acceptance of changes.


14. Governing Law

This Agreement is governed by the laws of New South Wales, Australia. Any disputes shall be resolved under the jurisdiction of the relevant Australian courts.
