1. Introduction
These Terms and Conditions (“Agreement”) form a legally binding contract between you (“Customer”, “you”, or “your”) and Hosting Roo PTY Ltd and Hosting Roo (UK) Ltd (collectively, “HostingRoo”, “we”, “us”, or “our”) and govern your use of our services.
By using any HostingRoo service, including visiting our websites, purchasing or using our hosting, domain, or email services, you agree to be bound by this Agreement and our Acceptable Use Policy (“AUP”).
If you do not agree, you may not use our services.
2. Definitions
Services: Any products or services provided by HostingRoo, including hosting, domain registration, email, SSL certificates, support, and any associated services.
AUP: Our Acceptable Use Policy, which outlines prohibited uses of our services and is incorporated by reference into this Agreement.
Customer Data: All information, files, and content uploaded or transferred by the Customer.
3. Eligibility
You must be at least 18 years of age and have legal capacity to enter into this Agreement. You represent and warrant that the information provided is accurate and complete.
4. Account Registration
You agree to:
Provide true, complete, and accurate contact and billing information;
Keep your login credentials secure;
Notify us immediately of any unauthorised access to your account.
You are solely responsible for all activity occurring under your account.
5. Use of Services
You agree to use our services only for lawful purposes and in accordance with this Agreement and the AUP. You will not:
Use services to violate any laws or regulations;
Interfere with network security or degrade performance;
Host or transmit content that violates our AUP.
We reserve the right to monitor services, investigate complaints, and take necessary action (including suspension or termination) for any breaches.
6. Service Availability and Uptime
We aim to provide a 99.99% uptime level across our services. However, we do not guarantee uninterrupted service and are not liable for downtime, interruptions, or data loss.
Scheduled maintenance and emergency repairs may result in temporary unavailability. Reasonable efforts will be made to notify you in advance.
7. Payments and Invoicing
All fees are payable in advance and are non-refundable unless explicitly stated. You agree to:
Provide valid payment details;
Ensure timely payment of invoices;
Pay all applicable taxes, levies, or duties imposed by authorities.
Failure to pay may result in service suspension or termination.
8. Refund Policy
HostingRoo may offer a 30-day money-back guarantee for cPanel shared hosting services. This does not apply to domain registrations, renewals, SSLs, or third-party services.
9. Term and Termination
This Agreement remains in effect until:
Terminated by you via your account dashboard;
Terminated by us for cause (e.g., AUP breach, non-payment, legal violation).
Upon termination:
All services are ceased immediately;
Customer data may be deleted within 30 days.
No refunds will be provided for any unused service period following termination for cause.
10. Backups and Data Responsibility
We perform routine backups of shared services, but you remain solely responsible for backing up your data. We are not liable for data loss or corruption.
Backups are included as part of your hosting plan’s storage allocation. Excessive retention of backups—particularly from cPanel, WHM, or WHMCS—can lead to your allocated storage being used up, potentially impacting service performance. For guidance on best practices and recommended backup intervals, please contact support@hostingroo.com.
Backups of external sources (i.e., data not hosted on HostingRoo infrastructure) are not permitted. HostingRoo services are not to be used as general-purpose remote storage or backup repositories.
Backups are included as part of your hosting plan’s storage allocation. 11. Intellectual Property
All intellectual property provided by HostingRoo remains our sole property. You may not copy, reproduce, or resell any part of our services or branding without written permission.
You retain ownership of your content, provided it complies with the AUP.
12. Security
You must:
Maintain strong passwords and access controls;
Promptly install security updates;
Use up-to-date software;
Notify us of security incidents affecting your services.
We reserve the right to suspend or modify services to address potential threats.
13. Support Services
Support is available via the methods described on our website. Support is offered only to the account holder or authorised contacts. Abuse of our support team may result in restriction or termination of access.
14. Changes to Agreement
We may update this Agreement or the AUP at any time. You will be notified of material changes via email or via your customer portal. Continued use of services after changes take effect constitutes acceptance.
15. Limitation of Liability
To the fullest extent permitted by law:
HostingRoo will not be liable for indirect, incidental, or consequential damages;
Our liability is limited to the total fees paid by you in the previous 12 months.
This clause survives termination.
16. Indemnification
You agree to indemnify and hold HostingRoo harmless from any claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising out of your use of the services, violation of this Agreement, or infringement of third-party rights.
17. Third-Party Services
We may provide access to third-party services (e.g., domain registrars, email tools). Use of these services is governed by their respective terms. We are not liable for third-party service interruptions or actions.
18. Force Majeure
HostingRoo shall not be held liable for failure or delay in performance due to events beyond reasonable control (e.g., natural disasters, cyberattacks, war, or government action).
19. Dispute Resolution
If you have an issue with our service, please contact support first. Most issues can be resolved informally. If not:
Australian customers agree to submit to the jurisdiction of NSW courts.
UK customers agree to the jurisdiction of Scottish courts.
